AI & Board Performance: practical tools for NEDs to improve board performance

This event is being hosted by MSP Company Secretarial, in collaboration with NEDNet.

This session will consider how NEDs can use AI in a practical and proportionate way to improve board effectiveness, board dynamics and the quality of board decision-making. The discussion will focus on where AI can genuinely help directors and governance teams: improving board papers, sharpening pre-meeting preparation, surfacing better questions, encouraging more constructive challenge, improving minutes and action tracking, and ensuring that boards remain in control of judgement, confidentiality and accountability.

The roundtable will be led by Ian Farrelly, Director of MSP Company Secretarial. He will be joined by Simon Poole, an experienced NED and founder of Grounded Thinking Ltd that delivers practical AI governance and training for boards, and Paul Stark of the AI in Corporate Governance Forum and Board Intelligence.

Ian and Simon will bring a governance and board performance review perspective, including what boards and NEDs should be asking of management, the Chair and the company secretary. Paul will bring a perspective on AI-enabled board effectiveness, including how technology can help directors move from information overload to better insight and more effective meetings.

Topics for discussion will include:

• what AI readiness means for a board;
• how AI can improve the quality, candour and forward-looking nature of board papers;
• how NEDs can use AI-enabled tools to prepare more effectively and ask sharper questions;
• how AI can support better board dynamics, including constructive challenge, balanced debate and clearer accountability;
• the safeguards boards should adopt before using AI for board packs, minutes, transcripts or confidential information; and
• the practical questions NEDs should take back to their next board meeting.
